1. Agreeing to these terms

By creating an account, or using Seance as a member of a business's team, you agree to these terms and to our Privacy Policy. If you sign up on behalf of a business, you confirm you're allowed to agree for it, and “you” includes that business.

2. For businesses

Seance is for use in trade — for running your business. Because you're acquiring it for business purposes, the Consumer Guarantees Act 1993 does not apply, and we both agree it is fair and reasonable that we contract out of it (and sections 9, 12A, 13 and 14(1) of the Fair Trading Act 1986) to the extent the law allows.

3. Early access and price

Seance is in early access and is free while we test and improve it. We plan to introduce paid plans. Before that happens we'll give you at least 30 days' notice, with the prices, and you won't be charged anything unless you choose a paid plan. If you don't want to continue, you can export your data and stop using Seance at any time.

Because it's early access, features will change, and there may be bugs or short outages. Please keep your own copies of anything critical (for example, by downloading invoice PDFs).

4. Your account and your team

  • Give us accurate details and keep them up to date.
  • Keep your password private, and tell us straight away if you think someone else has used your account.
  • The business owner decides who is on the team and is responsible for what team members do in Seance. Remove people who shouldn't have access any more (Settings → Team).
  • Seance is not intended for anyone under 16.

5. Your data

Your business's information belongs to you — your customers, jobs, quotes, invoices, notes and everything else you put in. You give us permission to store and process it only so we can provide Seance to you (including backups, security and support). We don't sell it, and we don't use it for advertising.

When you put information about your customers into Seance, you're responsible for collecting and using it properly under the Privacy Act 2020 — for example, telling them why you collect their details. We look after it on your behalf, as your agent, as described in our Privacy Policy.

You're responsible for keeping the business records the law requires (for example, Inland Revenue requires most business records to be kept for 7 years). Seance helps, but it isn't a substitute for your own records and backups.

6. Emails, quotes and invoices you send

Quotes, invoices, reminders and other emails you send through Seance go from your own email account, in your name. You're responsible for what they say, for sending them only to people you're allowed to contact, and for following the Unsolicited Electronic Messages Act 2007.

Seance works out totals and GST from the figures you enter. Check your quotes and invoices before you send them. Seance doesn't give tax, legal or accounting advice — talk to your accountant about anything you're unsure of.

7. Fair use

You agree not to:

  • use Seance for anything unlawful, misleading or harmful, or to send spam;
  • upload viruses or anything designed to damage or interfere with Seance or other people's data;
  • try to get into accounts or data that aren't yours, or test Seance's security without our permission;
  • copy, resell or reverse-engineer Seance, or overload it (for example with automated scraping).

8. Our part

We'll take reasonable care to keep Seance running, secure and backed up, and to fix problems when we find them. But we can't promise it will always be available or free of errors, and we provide it “as is” during early access.

9. Liability

To the extent the law allows:

  • we're not liable for indirect or consequential loss — such as lost profits, lost business, or loss caused by a missed appointment or an incorrect quote or invoice; and
  • our total liability to you for anything to do with Seance is limited to the amount you've paid us in the 12 months before the claim, or NZ$100 if that is more.

Nothing in these terms limits any rights you have that can't be limited by law.

10. Ending your use

You can stop using Seance at any time. Contact us and we'll close your account. Before you go, you can download your quotes and invoices as PDFs; a full data export is coming soon. We delete closed accounts' data as set out in the Privacy Policy.

We may suspend or close an account that breaks these terms or puts Seance or other users at risk. Where we can, we'll warn you first and give you a chance to fix things and to take a copy of your data. If we ever stop offering Seance, we'll give you at least 30 days' notice.

11. Changes to these terms

We may update these terms as Seance grows. If a change matters, we'll tell you in Seance or by email before it takes effect, and ask you to accept the new version. The date at the top shows when they last changed.

12. New Zealand law

These terms are governed by New Zealand law, and New Zealand courts have jurisdiction over any dispute.
